Eclipse Jet Announces Structure and Strategy

March 20, 2009

Former Eclipse CEO Roel Pieper Joins the Team

CHESTERFIELD, Mo., March 20 /PRNewswire/ — Mike Press and Mason Holland announced today their formation of Eclipse Jet LLC (Eclipse Jet) with partners Roel Pieper, Raul Segredo and John Cracken to acquire and operate the assets of Eclipse Aviation Corporation (Eclipse) for the benefit of existing and future customers. Eclipse Jet will focus on building a healthy, viable platform for the Eclipse 500 business, including service, support, training and production for a global market.

“When Mason and I set out to form Eclipse Jet,” said Mr. Press, “we wanted to recruit as our partners a group of Eclipse owners and depositors who were both representative of and sensitive to the interests of all Eclipse owners and depositors and expert in either private-equity acquisitions or the operation of aircraft or aircraft-component OEMs. We set out to form an enduring company with sustainable competitive advantages, and wanted each of our partners to be positioned to help us capture the assets of Eclipse and then transition our company into a top-notch aircraft OEM maximizing the potential of the Eclipse 500.”

Mr. Pieper is the former CEO of Tandem Computer, a World leader in the design and manufacture of complex fault-tolerant computers before Mr. Pieper sold Tandem to Compaq Computers in 1997. Mr. Pieper is a former Board member with Compaq and Dutch electronics-giant, Philips Electronics.

Mr. Holland offered “Mike, Raul, and I have come to know Roel Pieper through our discussions with him during the course of the Eclipse bankruptcy. Roel reluctantly took over as CEO of Eclipse in July of 2008 and due to the worldwide economic crisis at the end of 2008, he was unable to fund his plan to turn around the company. When we set out to determine how to maximize the value of Eclipse’s assets and ensure our ability to deliver value to customers, Roel proved very helpful. For the last year, he’s been in the midst of Eclipse’s diligence in connection with reducing its production costs and expanding the market for the Eclipse 500 throughout Europe. He understands from actual experience all of the issues Mike, Raul and I have been modeling. Our go-forward plan is now better informed regarding how to deliver the Eclipse 500 to a worldwide audience and avoid the pitfalls Eclipse learned through its past experiences.”

Mr. Segredo is the co-founder, President and CEO of Avionica. Avionica was founded in 1992 to deliver innovative aviation products and services to the global aviation community. Avionica is noted for its ultra-reliable data recorders and global satellite-communications gear that drive improved aircraft safety. With thousands of installed aircraft operating worldwide, Mr. Segredo and Avionica aspire to make air travel safer. Boeing intends to equip its first 787 with Avionica’s satellite-communications gear.

“Raul Segredo is passionate about the potential of the Eclipse 500 and our ability to build a company that both serves Eclipse’s owners and depositors and delivers the value of the Eclipse 500 to a new audience,” stated Mr. Press. “He’s spent the last 15 years of his career operating and growing an aviation-component OEM dealing closely with both the FAA on regulatory issues and some of the leading and most demanding aircraft OEMs. Raul brings to us great perspective on how to manage an aviation start-up to ensure efficient operations and a continuous, reasonable gross margin. Further, his concept of ‘Customer First’ reaches the core of Eclipse Jet.”

Mr. Cracken is a Managing Director of Cracken, Harkey & Co. L.L.C., a Dallas-based private-equity firm focused upon the acquisition of middle-market companies. With partner John Harkey, Mr. Cracken has led the acquisition or seven public and private companies and co-founded technology company, RLX Technologies. RLX invented the blade server, which platform has been widely adopted by the incumbent computer (server) OEMs. HP acquired RLX in 2005. Mr. Harkey is a member of the Board and Chairman of the Audit Committee for numerous public companies, including satellite and communications OEM, Loral Space and Communications.

“John Cracken is a veteran private-equity professional, and we’re relying upon John to manage our corporate and bankruptcy legal team. We’ve asked John and our legal team to respond under considerable time pressure, and they’re committed to our timetable,” reported Mr. Holland. “We’re happy to have John, and his partner John Harkey, on our team. They bring immediate organization and capital to our capture campaign, and they’ve done a great job serving the depositor community throughout the Eclipse bankruptcy.”

“Our five -person team intends to capture Eclipse’s assets, lead a transition team to both restore fleet services and support and recruit a seasoned senor management team to lead Eclipse and resume production,” stated Mr. Holland.

Eclipse Jet intends to announce further details of its plan shortly.

ALTERNATIVE FUEL USED IN SUCCESSFUL OPERATION OF WILLIAMS INTERNATIONAL FJ44 GAS TURBINE ENGINE

March 20, 2009

Walled Lake, Michigan, March 20, 2009 – Williams International has completed extended testing of alternative fuel in a small gas turbine engine widely used in the general aviation market.  An FJ44-3 engine was powered by 2000 gallons of coal-based, alternative fuel for 118 cycles during 21 hours of running at Williams’ Walled Lake, MI facility. The synthetic fuel performed extremely well; the engine performance was identical to using Jet-A fuel and required no special engine or test cell modifications for the demonstration. This latest testing validates the flexibility of the robust FJ44 design to take advantage of alternative fuels composed of different compounds and created from various processes.

The fuel was developed by a team at Penn State University with help from Intertek-PARC and Duquesne University. The fuel was created using a coal-based raw feed that was upgraded and then hydrotreated, resulting in a “green” product essentially free of nitrogen, aromatics and sulfur. Sulfur-free fuel yields little to no harmful SOx engine emissions. The fuel has a higher energy density than typical jet fuels, so it can extend aircraft range. The raw feed can also be produced by coal liquification and therefore can be produced, fully home grown, from coal in the United States. This process, which is being developed for coal, could possibly use renewable feedstocks such as waste biomass and municipal solid waste, as well as second generation biomass like algae that does not compete with food sources.

Interest in alternative fuels has increased due to oil price volatility, the desire to reduce greenhouse gas emissions, and the desire for energy independence. Williams International is promoting development and certification of alternative fuels for commercial aviation, and specific plans include emissions and smoke measurement testing and engine testing of other alternative fuels including second generation bio-fuels. Williams International also is participating in the Commercial Aviation Alternative Fuels Initiative (CAAFI), an organization that seeks to enhance energy security and environmental sustainability for aviation through alternative jet fuels.

Williams International is the world leader in the development, manufacture and support of small gas turbine engines. The privately owned company is headquartered in Walled Lake, Michigan. The FJ44 series of engines set a new standard for fuel economy and low emissions for small commercial turbofan engines – every model in the FJ44 series is clean enough to incur no emissions landing surcharges (per Swiss regulations). The FJ44-3 engine powers the Cessna CJ2+ and CJ3 and the Beechcraft Premier II, and is used to re-engine many older aircraft to reduce their fuel consumption and emissions.

Juarez Wanderley High School Students Achieve 100% Approval on College Entrance Exams

March 20, 2009

Acceptance by public universities reaches 80%
São José dos Campos, March 20, 2009 – The students of Engineer Juarez Wanderley High
School, created and supported by Embraer through the Embraer Education and Research
Institute (Instituto Embraer de Educação e Pesquisa – IEEP), have set an historic record for the
institution: all 201 graduates were accepted by at least one undergraduate institution, whether
public or private, through the 2009 college entrance exams. Another important indicator, that is
the approval rate at public universities, rose from 64%, in 2008, to 80%, or 160 students passed
some of the most competitive college entrance exams in Brazil.
“I believe that the improved results, which had already been very high in previous years, are
due, first, to the merits of the students who see education as an opportunity for personal
growth, but also, to the professionalism and dedication of the entire high school staff,” says
Pedro Ferraz, Director of the Embraer Education and Research Institute. “Both students and
staff benefit from the availability of a consistent pedagogical project and from the constant
development of dynamic and motivating activities.”
The Engineer Juarez Wanderley High School is located at Embraer’s Eugênio de Melo Unit, in
São José dos Campos, Brazil. Founded in February 2002, it has become a benchmark for quality
instruction, not only in the Paraíba Valley region. It is ranked among the four best schools in the
State of São Paulo and among the top 25 public and private schools in Brazil, according to the
2007 National High School Exam (Exame Nacional do Ensino Médio – ENEM).
The institution provides a daily ten–hour schedule for the 600 students in the three-year high school,
with a total of 6,000 class-hours given during the entire instructional cycle. Everyone receives
instruction, on-site meals, uniform, transportation, and educational materials free of charge.
Besides the top-quality academic curriculum and the extracurricular environmental, social,
and cultural activities, the high school offers students an 800-hour University Preparation
Program, which is divided among the areas of the sciences (Pre-engineering), humanities
(Pre-administration), and medical research (Pre-biomedical). These are developed in
partnerships with the Center of Occupational Research and Development (CORD), from the
United States, Rede Pitágoras, and Sírio-Libanês Hospital, respectively.
The students of Engineer Juarez Wanderley High School are selected by an entrance exam and, to
be eligible, they must have taken the previous four years of studies (equivalent to middle school in
the U.S.) in the public school system. The competition is stiff, with a ratio of as many as 25 candidates per opening.

About the Embraer Education and Research Institute
Ever since was founded, in 2001, the Embraer Education and Research Institute (Instituto
Embraer de Educação e Pesquisa – IEEP) has focused its efforts on initiatives that contribute
to the process of social inclusion through education.
IEEP is predominantly involved in the communities around the cities where Embraer carries
out its industrial activities – São José dos Campos, Botucatu, and Gavião Peixoto, all in
outstate São Paulo, Brazil. Besides offering studies to 600 students through Engineer Juarez
Wanderley High School, in São José dos Campos, the Institute’s activities include educational
projects offered to public school students, as well as management process improvement
projects, focusing on Non-Governmental Organizations (NGO) and public schools.
Investments are also made in qualifying special needs young adults (in partnership with the
City of São José dos Campos), preparing low-income students for college entrance exams (in
Gavião Peixoto, in partnership with the University of the State of São Paulo – UNESP), and
entrepreneurship (in partnership with the Junior Achievement, in all three regions).
